Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the https://phiai.me website and the Phi AI coaching interface (the "Service") operated by Phi AI Inc. ("us", "we", "or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. Your use of the Service is also subject to our Privacy Policy, which covers how we collect, use, share, and store your personal information. You can read our Privacy Policy here: https://phiai.me/privacy-policy. These Terms, along with our Privacy Policy, constitute the entire agreement between you and Phi AI Inc. regarding the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

YOU MUST BE AT LEAST 18 YEARS OF AGE TO USE THIS SERVICE.

1. IMPORTANT MEDICAL AND CRISIS DISCLAIMER

PHI IS AN AI TOOL, NOT A HUMAN. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT, NOR IS IT A REPLACEMENT FOR PROFESSIONAL THERAPY OR CRISIS INTERVENTION.

  • Phi is designed for emotional processing and general coaching regarding everyday life challenges. It is not designed to handle severe mental health crises, trauma, or situations involving self-harm or harm to others.

  • If you are in crisis, feeling suicidal, or in danger of harming yourself or others, please call 911, your local emergency services, or a crisis hotline immediately.

  • Never disregard professional medical advice or delay in seeking it because of something you have read on or received from the Service. You should always use your own judgment when making decisions based on interactions with Phi.

2. The Service and Access

Phi is an AI-powered conversational interface designed to help users process thoughts and gain clarity.

  • Free vs. Paid Access: We may offer limited free access to the Service. Full, unlimited access requires the purchase of a license.

  • Access Link: Upon purchasing full access, you will receive a unique, "hidden" link via email to access the unlimited version of Phi. You are responsible for maintaining the confidentiality of this link. Do not share this link with others. We reserve the right to terminate access if we detect abnormal usage patterns indicating the link is being widely shared.

  • Chat History: Phi does not require user account creation (usernames or passwords). Your chat history is stored locally on your device's browser (using cookies or local storage). If you reset the conversation, switch devices, or clear your browser cache, you will no longer have access to previous conversation history.

3. Service Evolution and Availability

You acknowledge and agree that Phi is an evolving product. We reserve the right to modify, update, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. The form and nature of the Service may change as we iterate on features, technology, and user feedback. We do not guarantee that the Service, or any specific version of it, will be available at all times or forever. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

4. Purchases, Lifetime Access, and Refunds

  • Fees: Full access to Phi is currently available for a one-time payment of $25 USD (subject to change).

  • "Lifetime" Definition: "Lifetime Access" refers to the lifetime of the current technical iteration of the Phi product. If Phi AI Inc. significantly pivots the product, changes technology platforms, or discontinues this specific version of the Service, your access may end. In such an event, we will make reasonable efforts to notify valid email subscribers and may, at our discretion, offer a discount on future product iterations.

  • Refunds: Because Phi is a digital product that grants immediate access upon payment, all sales are final and non-refundable.

5. Intellectual Property and Usage Restrictions

A. Ownership The Service and its original content (excluding User Content provided by you), features, and functionality are and will remain the exclusive property of Phi AI Inc. and its licensors. This includes, but is not limited to, the text, graphics, logos, conversation flows, prompt engineering, and coaching logic embedded within the AI. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries.

B. Restrictions on Use You agree not to, and you will not permit others to:

  • Reverse Engineer: License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service or make the platform available to any third party.

  • Derive Source Code: Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.

  • Prompt Injection/Extraction: Attempt to "jailbreak" the AI, use "prompt injection" techniques to bypass safety filters, or use the Service to extract the underlying system prompts, instructions, or coaching frameworks for the purpose of building a competing product.

  • Share Access: Share your unique access link with any other individual.

  • Scrape Data: Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.

7. User Conduct

You retain ownership of any text you input into the Service ("User Content"). However, by inputting content, you grant Phi AI Inc. a license to use it to provide the Service and improve our AI models (in an anonymized manner).

You agree not to use the Service to:

  • Input content that is illicit, sexually inappropriate, explicit, or pornographic in nature.

  • Violate any applicable laws or regulations.

  • Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

  • Submit false or misleading information.

  • Upload or transmit viruses or any other type of malicious code.

8. AI Limitations

You acknowledge that the Service uses artificial intelligence. AI systems have limitations and may occasionally generate incorrect, misleading, or nonsensical information (often called "hallucinations"). Phi may not always accurately interpret your inputs. You rely on the outputs of the Service at your own risk.

9. Termination

You may stop using the Service at any time. To request permanent data deletion, please email hello@phiai.me. We may also terminate or suspend your access immediately, without notice or refund, for any breach of these Terms.

10. Limitation of Liability

In no event shall Phi AI Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any content generated by the Service; or (iii) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
